Affiliate Agreement

This Affiliate Agreement (the "Agreement") is between Ontwikkelingsmaatschappij Boudewijn B.V., trading as Scraler ("Scraler", "we", "us"), and you, the person or business joining the Scraler Partner Program (the "Program") ("you", the "Partner").

You accept this Agreement by ticking the box that refers to it and creating your partner account. If you accept on behalf of a business, you confirm that you are authorised to bind it. We keep a record of the version you accepted and when.

You must be at least 18 years old and give us accurate details. We may decline or close a partner account at our discretion. One partner account per person or business.

You take part as an independent contractor. This Agreement does not create an employment, agency, partnership or joint venture relationship, and you may not make commitments on behalf of Scraler.

We give you a personal referral link (scraler.com/?ref=your-code). You may change your code in your partner account; links with your earlier codes keep counting for you.

When someone opens your link, their browser remembers it for 12 months, and every new visit through your link starts that period again. If they open another partner's link afterwards, the latest link counts. A coach can be referred once: the partner credited for a coach keeps that referral.

Tracking depends on the browser. It may not work when cookies are blocked or cleared, or when the coach signs up on another device. Our records decide which partner a referral belongs to.

You earn the commission rate and for the duration shown in your partner account when you accept this Agreement. The standard rate is 30% of every subscription payment a referred coach makes to Scraler, for as long as that coach stays subscribed.

Commission is calculated on what the coach actually paid, after discounts and excluding taxes such as VAT. No commission is due on payments that are refunded or disputed.

You do not earn commission on your own Scraler account, or on accounts you or your business own or control.

Each commission is held for 30 days after the coach's payment, which covers the refund window.

A referral qualifies after the coach's second monthly payment or their first yearly payment. Commissions earned before then become payable once the referral qualifies.

If a payment is refunded or disputed, its commission is cancelled. If that commission was already paid to you, we may deduct it from your future commissions.

We pay approved commissions monthly by bank transfer through our payment provider, once your approved balance in a currency reaches 50 in that currency. Smaller balances roll over to the next month.

For each payout we email you a secure link to enter your bank details directly with the payment provider. You are responsible for keeping your payout email and bank details correct. We are not responsible for a payout that is delayed or lost because of incorrect details you gave.

Commissions are gross amounts. You are responsible for any taxes on what you earn, including income tax and VAT, and for any invoicing that applies to you. We may ask for tax or identity information before paying.

Promote Scraler honestly and in line with the law that applies to you, including advertising, consumer protection, privacy, cookie and anti-spam rules. Make clear to your audience that you earn a commission when they sign up through your link.

You may not:

• bid on "Scraler", or misspellings or variations of it, as a keyword in search or social advertising, or use it in domain names, app names or social media handles;
• present yourself as Scraler, or suggest that we endorse you beyond this Program;
• make false or misleading claims about Scraler's features, prices or results;
• send unsolicited messages (spam) or buy contact lists to promote your link;
• offer cash, refunds or other rewards for signing up through your link, unless we agreed to it in writing;
• generate visits or signups artificially, for example with bots, hidden frames, forced clicks, cookie stuffing or fake accounts;
• promote Scraler next to content that is illegal, hateful, violent or sexually explicit;
• refer yourself, your own business or accounts you control.

We give you a limited, non-exclusive, non-transferable and revocable licence to use the Scraler name, logo and the materials we provide, only to promote Scraler under this Agreement. Do not change them, and follow any brand guidance we give you. All rights in the Scraler brand remain ours, and the licence ends when this Agreement ends.

We do not share the personal data of coaches you refer. Your partner account shows referrals in anonymised form, together with your own commissions.

If you collect personal data yourself while promoting Scraler, for example through your own mailing list, you are responsible for it under the data protection law that applies to you.

We may review a partner account when we see unusual activity. During a review we may pause payouts. If we find that you broke this Agreement, we may cancel commissions earned through that breach, deduct commissions already paid for it, and close your account.

You can end this Agreement at any time by telling us at affiliates@scraler.com. We can end it at any time by email. We may end it with immediate effect if you break it.

When the Agreement ends, you stop earning new commissions. Commissions on payments made before the end are still paid under the payout rules above once they pass the holding period and qualify, unless we ended the Agreement because you broke it. If what is left stays below the payout minimum, email us and we pay it out.

We may change this Agreement or the Program. We will email you at least 30 days before a change takes effect. If you do not agree with a change, you can end this Agreement before it takes effect. A change never reduces commission you already earned.

The Program is provided as is. We do not guarantee any level of earnings, and we do not guarantee that tracking is always available.

Our total liability under this Agreement is limited to the commissions paid or payable to you in the 12 months before the event that caused the claim. This limit does not apply to damage caused by our intent or gross negligence, or where the law does not allow it.

You will compensate us for claims by third parties that result from your promotion of Scraler in breach of this Agreement or the law.

This Agreement, together with the program terms in your partner account, is the full agreement about the Program. Our Terms of Service apply to any Scraler account you use as a customer.

We may transfer this Agreement to a company that takes over the Program. You may not transfer it without our written consent.

We send notices to the email address of your partner account; you send them to affiliates@scraler.com.

If a provision of this Agreement is invalid, the rest remains in force. This Agreement is governed by the laws of the Netherlands. Disputes will be submitted to the competent court in Amsterdam, the Netherlands.
